Terms and Conditions for Company Formation Services

1. Introduction

1.1 These Terms and Conditions ("Terms") govern the use of our company formation services ("Services"). By engaging our Services, you agree to comply with these Terms.

1.2 Our Services are provided by AMPR FINANCE LTD, a business registered under laws of England and Wales, with its registered address at Meridien House, 42 Upper Berkeley Street, London, W1H 5QL, United Kingdom.

1.3 AMPR FINANCE LTD is an authorised formation agent of Companies House, and we’re securely integrated with them, so you can trust us to register your limited company.

2. Services Provided

2.1 We offer assistance with company formation, including preparation and filing of necessary documents with the relevant government authorities (such as Companies House).

2.2 The scope of Services are outlined in these Terms and on the website. 2.3 We do not provide legal, tax, or financial advice. Clients are encouraged to seek professional guidance as needed.

2.4 Company registration is a separate service and cannot be a condition for the business current account opening at Ampere.

3. Client Responsibilities

3.1 You must provide accurate, complete, and timely information required for the formation process.

3.2 You are responsible for ensuring compliance with all applicable laws and regulations in your jurisdiction.

3.3 You agree to promptly respond to any requests for additional information or documentation.

4. Fees and Payment

4.1 Fees for our Services will be communicated in advance and are available in our price list on the website and are subject to change without prior notice.

4.2 Payment must be made in full before we commence work.

4.3 Companies House company formation fees that are currently £50 are paid by AMPR Finance Ltd on behalf of you.

4.4 Any government fees, taxes, or third-party charges applicable after the company has been registered are the client’s responsibility.

4.5 Refunds will not be issued once you have confirmed the order to register a company and thus the work has commenced.

4.6 In case Companies House will reject to register a company for you due to any reason beyond our reasonable control no refund can be issued.

4.7 In case you have paid for the company formation service together with the business current account opening at Ampere, taking into account clause 2.4, if Ampere refuses to open the business current account, the refund can be only issued in relation to the account opening and not in relation to our company formation services.

5. Confidentiality

5.1 We will handle all client information with strict confidentiality, except as required by law or with your explicit consent.

5.2 You agree not to disclose our proprietary methods, pricing, or processes to third parties without prior written approval.

6. Limitation of Liability

6.1 Our liability is limited to the amount paid for our Services.

6.2 We are not liable for delays, errors, or failures caused by third parties, government agencies, or your failure to provide necessary information.

6.3 We do not guarantee the approval of your registration by relevant authorities.

6.4 If Companies House rejects your application, then Ampere will not be able to open a business current account for you.

7. Termination

7.1 Either party may terminate the engagement by providing written notice.

7.2 Upon termination, you must settle any outstanding fees, and we will provide you with completed work up to the termination date.

8. Intellectual Property

8.1 Any materials or documentation we create for you remain our intellectual property until full payment is received.

8.2 You may use the materials solely for the purposes specified in the agreement.

9. Governing Law

9.1 These Terms are governed by the laws of England and Wales.

9.2 Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts in England.

10. Amendments

10.1 We reserve the right to amend these Terms at any time, without any notice provided.

10.2 Continued use of our Services following such amendments constitutes acceptance of the new Terms.

11. Force Majeure

11.1 We are not liable for failure or delay in performance due to causes beyond our reasonable control, including natural disasters, strikes, or government actions.
